Terms of Service
Last updated: October 2, 2026
1. Acceptance of terms
These Terms govern your use of the Omnya Portal at portalomnyagrowth.com (the "Portal") and the services of Omnya Growth LLC ("Omnya", "we", "us"). By using the Portal you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Portal.
If you have a separate signed agreement with Omnya, such as a client contract or a creator agreement, that agreement controls where it conflicts with these Terms.
2. Our services
Omnya provides UGC strategy, creator marketing, content production and social media management. The Portal is where creators find and join campaigns, submit content and track earnings, where brand clients follow their campaigns, and where our staff manage campaigns and payouts. The scope of work for each client is set in a separate proposal or agreement.
3. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract.
- Accounts are created by invitation or approval. We may approve or decline any account.
- Keep your login details secure. You are responsible for activity under your account. Tell us straight away at hello@omnyagrowth.com if you think someone else has accessed it.
- Give us accurate information and keep it up to date, including payment details.
4. Connected social accounts
Creators may connect TikTok, Instagram, Facebook or YouTube accounts so we can measure campaign posts. When you connect an account:
- You confirm the account is yours and that you may grant this access.
- You authorize Omnya to read the data described in our Privacy Policy, using read-only access. We never post or act on your behalf.
- You can disconnect at any time in the Portal, or revoke access in the platform's own settings.
- Your use of each platform stays subject to that platform's own terms and policies. Omnya is not affiliated with, endorsed by or sponsored by TikTok, Meta, Instagram, Facebook, Google or YouTube.
- By connecting a YouTube account you also agree to the YouTube Terms of Service.
Platform data may be late, incomplete or changed by the platform. Earnings based on performance are calculated from the data available when a payout is prepared, as described in your campaign terms.
5. Content and intellectual property
- Creators keep ownership of their content unless their campaign agreement says otherwise. By submitting content you grant Omnya and the campaign's brand the rights described in that campaign's brief or agreement. If the brief does not say, you grant a non-exclusive licence to review the content and use it for that campaign.
- Clients own the final deliverables created for their campaign once paid in full, unless their agreement says otherwise. Omnya may show work in its portfolio unless the client asks us in writing not to.
- You confirm that content you submit is original or properly licensed, does not infringe anyone's rights, and follows the law and platform rules, including ad disclosure rules such as the FTC Endorsement Guides.
- The Portal, its software, templates and processes belong to Omnya.
6. Acceptable use
Do not:
- access data or accounts that are not yours, or try to get around access controls;
- submit content that is unlawful, misleading, hateful or infringing, or that breaks platform policies;
- inflate views or engagement artificially, including with bots, paid views or engagement pods;
- scrape, reverse engineer, overload or disrupt the Portal;
- share campaign briefs, pricing or other confidential information without permission.
7. Payments
- Clients: fees are set in your proposal or contract. Invoices are due within the time stated. Late payment may pause services. Fees are non-refundable unless agreed otherwise in writing.
- Creators: rates and payment terms are set per campaign. Payouts are made through Stripe Connect or another method we support. When you use Stripe you also agree to the Stripe Connected Account Agreement. We may withhold or reverse payment for content that breaks these Terms or for performance that was inflated artificially. You are responsible for your own taxes.
8. Confidentiality
Both sides agree to keep confidential any private information shared during the engagement, including campaign strategies, pricing and business operations.
9. Termination
Either side may end an engagement with written notice as set out in the relevant agreement. We may suspend or close an account that breaks these Terms. When an engagement ends, outstanding payments become due. You can ask us to delete your data as described on our Data deletion page.
10. Disclaimers
The Portal is provided "as is" and "as available". We do not promise that it will be uninterrupted or error free, or that any campaign will reach a particular result. Third-party platforms may change or stop their services or APIs at any time, which can affect features of the Portal.
11. Limitation of liability
To the extent the law allows, Omnya is not liable for indirect, incidental, special or consequential damages, or for lost profits, arising from use of the Portal or our services. Our total liability for any claim is limited to the amount you paid us in the 30 days before the claim.
12. Governing law
These Terms are governed by the laws of the United States and of the state in which Omnya Growth LLC is organized. Disputes will be resolved by binding arbitration, except that either side may seek urgent relief from a court.
13. Changes
We may update these Terms. We will change the date at the top. If the changes are significant, we will tell you in the Portal or by email. If you keep using the Portal after changes take effect, you accept the updated Terms.
